Contracts and Commercial Transactions

We carefully negotiate and draft contracts to protect our client’s legal rights, and to minimize the possibility of a dispute resulting in litigation.

We provide professional legal representation for both business and individual clients including contractnegotiation and drafting, purchase or sale of business, new business formation (corporations, limited liability companies, partnerships, etc.), employment contracts, independent contractor agreements, construction contracts, renovation contracts for houses, co-op and condominium apartments and commercial premises

As New York contracts, business and commercial litigation lawyer, we provide legal representation for small to medium-size businesses, and individuals engaged in commercial transactions, consulting work, contracts, as well as real estate and commercial disputes. Where possible, we attempt to resolve disputes by negotiation or alternative dispute resolution, such as mediation or arbitration. When those alternatives are not feasible, we can litigate your real estate or commercial dispute. We are mindful of the fact that litigation can be both costly and time-consuming, and therefore we always mindful of the cost-benefit analysis in determining the most practical approach for each of our clients.

We draft and negotiate contracts with the goal of avoiding potential disputes in the future. We do our best to ensure that potential misunderstandings do not occur, and that the terms of our contracts did not create opportunities for ambiguities which may cause legal issues, or even litigation, in the future.

Commercial Litigation

When a commercial dispute cannot be resolved through settlement negotiations, or by mediation or arbitration, we are prepared to aggressively litigate on behalf of our client. Our extensive litigation experience in the New York courts give us the ability to zealously and effectively represent our client’s interests.

As a highly experienced New York commercial litigation attorney, we extensively prepare our cases for pretrial discovery, and eventual trial. This often results in negotiations that lead to successful settlements without the added expense, time and inconvenience of a trial.

Real Estate Transactions

As a New York real estate lawyer with many years of experience, we represent many types of people involved in real estate transactions, including first-time home buyers, experienced home buyers and sellers, and sophisticated real estate investors. We are highly experienced in negotiating and drafting real estate contracts, as well as representing our clients in connection with mortgage or co-op loans, co-op or condominium Offering Plans, managing agent’s requirements, co-op Board of Directors’ requirements, condominium Board of Mnagers’ requirements, title searches, restrictive covenants, easements, certificates of occupancy, title issues, estate transfers, surveys, encroachments, variations between surveys and current buildings and physical structures, and other issues involving New York real estate transactions.

Real Estate Litigation

We have extensive experience in real estate litigation including:
•Mechanics Lien Litigation
•Partition Action Litigation
•Shareholder Derivative Action litigation involving claims of dissipation of corporate assets, and issues regarding the business judgment rule
•Lawsuit for Injunctions Against Adjacent Property Owners, and construction companies
•Lawsuit by Property Owners Against a Construction Company that fraudulently obtained title to the clients’ property under the guise of facilitating the financing of a demolition and major construction project

Wills Trusts Estate Administration and Estate Probate

Last Will and Testament

A valid legally enforceable Last Will and Testament (“Will”) is your opportunity to ensure that your intentions regarding who will receive your assets upon your death will be followed. Some people make the mistake of thinking that they can prepare, sign and notarize a statement explaining who they want to inherit their property. There is a very real risk that the Surrogate’s Court will ignore their document, since it may not satisfy New York statutory requirements, in order to be valid and enforceable Last Will and Testament. if that occurs, your assets will be distributed in accordance with the New York laws of intestacy, which apply to a New York resident dies without a Will.

Living Will and Health Care Proxy

A Living Will and Health Care Proxy can state your desires regarding whether or not to keep you alive on a respirator if there is no chance of recovery, whether you should spend your last days at home or in a hospital, etc. The Health Care Proxy enables you to designate a trusted friend or relative to make health care decisions for you, if you are mentally or physically unable to make or express those opinions.

Power of Attorney

A Power of Attorney permits you to legally appoint a trusted family member, friend, or other person to sign legal documents on your behalf. A Power of Attorney may be used in order to complete the purchase or sale of real estate if you will be traveling out of the country or otherwise unavailable when the closing of title occurs. A Power of Attorney may also be used in other instances in order to grant authority to your designated representative to sign legal documents on your behalf or collect or pay money on your behalf.

Since the Power of Attorney is a very powerful and potentially dangerous document, its scope can be limited. We recommend that your Power of Attorney be carefully prepared to insure that it only grants the authority that you intend to convey, and that it is effective for only the intended period of time or the particular transaction. We are ready to assist you in the preparation of a Power of Attorney to meet your specific needs.

Personal Injury Litigation

We represent accident victims seriously injured in car accidents, hit & run accidents, motor vehicle collisions caused by uninsured or underinsured motorists, motorcycle accidents, bicycle accidents, rollerblade accidents, pedestrian accidents, slip and fall accidents, trip and fall accidents, construction accidents, and other accidents caused by a defendant’s negligence throughout New York State. We also represent the families of wrongful death accident victims who have been fatally injured due to a New York accident. We accept serious injury and wrongful death cases in New York City, Nassau County, Suffolk County, Westchester County, Rockland County and upstate New York.

Divorce & Matrimonial Law

We work with experienced divorce and family law co-counsel to represent clients for divorce, annulment or separation agreements.  We aim to protect the financial interests of our clients, including issues of maintenance (previously known as alimony), equitable distribution of marital property, and child support.  We also strive to achieve child custody and child visitation arrangements that are fair to our client, and beneficial for the children.

Criminal Defense

We work with experienced criminal defense trial lawyers to aggressively defend our clients who are charged with crimes in the New York State courts as well as the Federal courts.  If you or a loved one needs an aggressive New York criminal defense attorney, contact us by phone, or complete our Criminal Law Questionnaire.

Time Limitations

There are strict time limitations that apply to New York lawsuits, including accident cases, commercial litigation, real estate litigation, and other types of New York litigation. The statute of limitations (time limit for commencing litigation) varies depending on the type of case, and in some instances, depending on the defendant being sued. Furthermore, many types of claims and lawsuits also have other time limitations (in addition to the statute of limitations), such as time limitations for filing a Notice of Claim, Notice of Intention to Make Claim, and other important documents.
