Our New York Business Law Firm provide professional legal representation for both business and individual clients, including contract negotiation and drafting, purchase or sale of business, new business formation (corporations, limited liability companies, partnerships, etc.), shareholders’ agreements, LLC operating agreements, employment contracts, independent contractor agreements, joint venture agreements, etc.

Our highly skilled New York business lawyer provides legal representation for small to medium-size businesses and individuals engaged in commercial transactions, business contracts, consulting work, and other business matters. We draft and negotiate contracts with the goal of avoiding potential disputes in the future. Our extensive contract drafting skills enable our NY business lawyer to minimize the possibility of ambiguities in a contract which might cause legal issues, disputes, or even litigation in the future.

New York Contracts and Commercial Transactions

Our New York business lawyer carefully negotiates and drafts contracts to protect our client’s legal rights, and to minimize the possibility of a dispute resulting in litigation.

New York Commercial Litigation

Where possible, our New York business lawyer will attempt to resolve business disputes by negotiation or alternative dispute resolution, such as mediation or arbitration. When a commercial dispute cannot be resolved through settlement negotiations, or by mediation or arbitration, we are prepared to aggressively litigate on behalf of our client. Our extensive litigation experience in the New York courts give us the ability to zealously and effectively represent our client’s interests.

As a highly experienced New York commercial litigation lawyer, we extensively prepare our cases for pretrial discovery, motions for summary judgment, and trial. This often results in negotiations that lead to successful settlements without the added expense, time and inconvenience of a trial.

New York Real Estate Transactions

As a New York real estate lawyer with many years of experience, we represent buyers and sellers in real estate transactions, including first-time home buyers, experienced home buyers and sellers, and sophisticated real estate investors. We are highly experienced in negotiating and drafting real estate contracts, as well as dealing with mortgage or co-op loans, co-op Board of Directors’ requirements, condominium Board of Managers’ requirements, managing agent’s requirements, title searches, restrictive covenants, easements, certificates of occupancy, title issues, estate transfers, surveys, encroachments, variations between surveys and current buildings and physical structures, and other issues involving New York real estate transactions.

New York Wills Trusts Estate Administration and Estate Probate

Our New York probate lawyer represents clients in preparing a Last Will and Testament (“Will”), Living Will and Health Care Proxy, Power of Attorney, and in Estate Probate or Estate Administration.

Last Will and Testament

A valid legally enforceable Last Will and Testament (“Will”) is your opportunity to ensure that your intentions regarding who will receive your assets upon your death will be followed. Some people make the mistake of thinking that they can prepare, sign and notarize a statement explaining who they want to inherit their property. There is a very real risk that the Surrogate’s Court will ignore their document, since it may not satisfy New York statutory requirements, in order to be valid and enforceable Last Will and Testament. if that occurs, your assets will be distributed in accordance with the New York laws of intestacy, which apply to a New York resident dies without a Will.

Living Will and Health Care Proxy

A Living Will and Health Care Proxy can state your desires regarding whether or not to keep you alive on a respirator if there is no chance of recovery, whether you should spend your last days at home or in a hospital, etc. The Health Care Proxy enables you to designate a trusted friend or relative to make health care decisions for you, if you are mentally or physically unable to make or express those opinions.

Power of Attorney

A Power of Attorney permits you to legally appoint a trusted family member, friend, or other person to sign legal documents on your behalf. A Power of Attorney may be used in order to complete the purchase or sale of real estate if you will be traveling out of the country or otherwise unavailable when the closing of title occurs. A Power of Attorney may also be used in other instances in order to grant authority to your designated representative to sign legal documents on your behalf or collect or pay money on your behalf.

Since the Power of Attorney is a very powerful and potentially dangerous document, its scope can be limited. We recommend that your Power of Attorney be carefully prepared to insure that it only grants the authority that you intend to convey, and that it is effective for only the intended period of time or the particular transaction. We are ready to assist you in the preparation of a Power of Attorney to meet your specific needs.

Estate Probate or Administration

Our New York Probate lawyer represents estates in estate probate or estate administration. This is the process of obtaining a Surrogate’s Court decree granting authority to the estate executor or estate administrator to administer the assets of the decedent’s estate. The Surrogate’s Court decree enables the estate executor or estate administrator to marshall the decedent’s assets and distribute the assets to the decedent’s beneficiaries designated in the decedent’s Will, or by the laws of intestacy if the decedent did not leave a valid Will. If the Surrogate’s Court decree contains restrictions on the authority granted to the estate executor or estate administrator, our New York Probate lawyer will need to apply to the Surrogate’s Court for an order removing the restrictions. This often occurs where the estate includes real estate.

Personal Injury Litigation

Our New York accident lawyer represents accident victims seriously injured in car accidents, hit & run accidents, motor vehicle collisions caused by uninsured or underinsured motorists, motorcycle accidents, bicycle accidents, rollerblade accidents, pedestrian accidents, slip and fall accidents, trip and fall accidents, construction accidents, and other accidents caused by a defendant’s negligence throughout New York State. Our New York accident lawyer also represents the families of wrongful death accident victims who have been fatally injured due to a New York accident. Our New York personal injury lawyer accepts serious injury and wrongful death cases in New York City, Nassau County, Suffolk County, Westchester County, Rockland County and upstate New York.

Time Limitations

There are strict time limitations that apply to New York lawsuits, including accident cases, commercial litigation, real estate litigation, and other types of New York litigation. The statute of limitations (time limit for commencing litigation) varies depending on the type of case, and in some instances, depending on the defendant being sued. Furthermore, many types of claims and lawsuits also have other time limitations (in addition to the statute of limitations), such as time limitations for filing a Notice of Claim, Notice of Intention to Make Claim, and other important documents.
